Terms of Use

Introduction

These Terms of Use ("Terms") govern the use of the Services offered by Virgit Smart Solutions LLP ("Company", “We”) on parth2success.com ("Website"). The Services are intended for both individual and professional use and assist in conducting business. By using the Services, the User affirms understanding and acceptance of these Terms and the Privacy Policy. The User confirms that they are of legal age and capacity to enter into this agreement and, if representing an entity, are authorized to act on its behalf. These Terms apply to all Users, regardless of whether they are acting on behalf of an entity or as an individual. We do not serve individuals less than the age of 18 years.
If the User disagrees with these Terms, they must not use the Services. For concerns, Company can be contacted at support@parth2success.com. The current version of these Terms can always be reviewed on this page. Continued use of the Services after changes indicates acceptance of the revised Terms.

Definitions

Unless otherwise indicated, the following capitalized terms have the following meaning:
Account refers to the individualized panel for using the Services.
Agreement is the contract established by using any/all of the Services.
AI Services are artificial intelligence utilities provided as part of the Services.
API refers to the Parth application programming interface.
Chat Agent is a widget that can be implemented on the User’s website.
Content includes texts, pictures, and other materials published or sent by Users.
Device covers electronic equipment like computers and smartphones for web browsing.
Intellectual Property encompasses exclusive rights of the Company.
Licence grants non-exclusive rights to use the Services.
Link denotes hyperlinks to other websites.
Notification is a message sent as part of the Services.
Privacy Policy details personal data processing rules and is available at parth2success.com/chatbot/privacy.
Services collectively refer to Website, Admin panel, Chat Agent, AI Services, and API.
Terms are these terms, available at parth2success.com/chatbot/terms.
User is an individual or an entity representative using the Services or visiting the Website.
Website means collectively parth2success.com website and its sub-pages.
These definitions apply in both singular and plural forms.

Acceptance of the Agreement

The Agreement is accepted upon creating an account or using the Services.

Description of Services

Our Services are cloud-based software solutions designed for both personal and business use. Users can access the Services through any supported Internet browser. Responsibility for obtaining Internet access and the necessary equipment to use the Services lies with the User.
The Services include a range of functionalities such as the ability to create and edit content with a User Account, which provides a personalized experience in managing and utilizing the Services. This encompasses the management of resources like Chat Agent setup and modifications, along with the management of chats, leads, and agent previews.
Additionally, the Services incorporate AI Services that utilize artificial intelligence. These AI Services enable the Users to submit text and other materials and receive AI-generated results through various interfaces, including APIs and Chat Agents. It is important to be aware that AI Services, due to their probabilistic nature, may not always provide factually accurate outputs. Users are advised to evaluate the accuracy of AI-generated outputs as appropriate for their specific use cases. This might include human review of the outputs, especially where AI's factual accuracy is critical.
We are constantly working to improve the AI features of our Services to make them more accurate, reliable, safe, and beneficial. However, Users should exercise caution and not solely rely on the AI Services for factual accuracy. In instances of factual inaccuracies or unacceptable content within the AI Services, Users are encouraged to report these issues to us through support requests or by emailing support@parth2success.com.
The company shall not bear any responsibility or liability for any inaccuracies, errors, or unacceptable content contained within the AI Services, under any circumstances.

Changes To Services

We reserve the right to modify, suspend, or discontinue our Services or any part thereof at our discretion without notice. We are not liable for any changes or unavailability of the Services. Users may be restricted from accessing certain areas or the entire Services at any time. Users will be informed of any major changes through a notification on the Admin website, or via the primary email. Users may choose to discontinue the use of Services if they do not agree with the changes.

Account

To set up an Account, registration through the Website using a Google account or an email with a password is required. Users must provide accurate and current information. Inaccurate or outdated information may lead to the termination of the Account. Users are to ensure that their information stays valid over time. Users are responsible for maintaining the confidentiality of their Account credentials and for all activities under their Account. Notify us immediately at support@parth2success.com of any unauthorized use. Users may be liable for losses caused by unauthorized use of their Account. Using another person's Account without permission is prohibited. A User’s username should not infringe on the rights of others or be offensive.
By creating an Account, the User consents to receive newsletters, marketing, and other informational materials via email or WhatsApp, with the option to unsubscribe. Essential account-related information will continue to be sent.

Organization Accounts and Administrators

Representatives using the Services for an organization must sign up with corporate contact information. The information provided must be true, accurate, and current. We may terminate a User Account for providing false or incomplete information. Users are responsible for the confidentiality and lawful use of their organization account. The Company is not responsible for internal account management and administration.

Free Trial

A free trial of Services may be offered for a specified period or until exhaustion of the pre-allocated free credit balance, commencement of a paid plan, or termination by the Company, whichever occurs first. Following the trial, access to Services will be restricted unless a paid plan is selected. Data associated with the trial account may be retained for up to 3 months post-trial, after which it may be permanently deleted unless otherwise required by law. The free trial is provided on an 'as-is' basis, without warranties, and with limited support or liabilities.

Beta Services

Beta Services are provided for testing and evaluation, and we reserve the right to determine the duration of these trials. Participation in Beta Services is optional. The continuation and commercialization of Beta Services are at our sole discretion. Beta Services may be discontinued at any time without liability for any resulting harm.

Usage Charges

At Parth, we operate on a usage credit-based system for accessing our Services. Users initially receive free Rupees for trial access, followed by the option to purchase paid Rupees, enrolling them in the premium plan. The premium plan remains valid as long as the paid Rupees last, with the option to extend through additional credit purchases. Rupees are utilized primarily in three ways: Short Chat, Long Chat, and Leads, detailed on the Pricing page (parth2success.com/chatbot/pricing). Rupees can be bought via the Admin panel. Currently, there are no separate subscription charges or varying premium plans with different service levels. Rupees do not expire.
Invoicing for credit purchases is based on details provided by the User at or before the time of purchase. Once issued, invoices cannot be altered due to regulatory constraints. It is the User's responsibility to ensure invoicing details are accurate and up-to-date.

Changes in Usage Charges

The Company reserves the right to modify credit consumption rates at its discretion. Changes will be communicated through Admin panel notifications or emails and will take effect on the following working day. Continued use of the Services post-modification implies acceptance of the new rates. Disagreements with changes should be directed to the support team via email at support@parth2success.com or a support request. The team will seek a resolution or offer a full refund for any remaining credit balance.

Cancellation of the use of Services

Users may discontinue Services by contacting the support team via email or support request. After efforts to address concerns, if discontinuance is chosen, the User's Account will be suspended, and access to Services ceased. Suspended accounts may be terminated after 90 days, unless requested for reactivation by the User. Users are responsible for removing any non-functioning elements from their websites. For terminated Accounts, the Company may retain the User’s data for a certain period at their sole discretion, unless the User explicitly requests its removal. Remaining credit balances will be fully refunded.

Refunds

Users unsatisfied with the Services should contact the support team for resolution or a full refund of their remaining credit balance. No refund will be issued for used Rupees. Refunds typically process in 7-10 days. Client satisfaction is a priority, and we aim to ensure value for your investment.

Restrictions on Use

By using our Services, Users agree to comply with all applicable laws and regulations, both local and national. We actively investigate any breach of these Terms and cooperate with law enforcement in prosecuting law violations.
The Services must not be used for any illegal or unauthorized purposes. Misuse includes, but is not limited to, actions that damage, hinder, or excessively burden the Services; interfere with others' use; or involve unauthorized access to our systems or networks.

Specifically, a User must not:
• Access or use the Services except through our officially supported interfaces.
• Tamper with, or access non-public areas of the Services or our providers' systems.
• Test or compromise the integrity of our systems or networks.
• Reverse engineer or illegally extract source code from the Services.
• Introduce or distribute malware through the Services.
• Infringing upon the privacy or rights of others, including our employees, consultants, providers, or other Users.
• Engage in activities that violate any law or regulation.
• Exploit, harm, or attempt to exploit or harm minors.
• Transmit unsolicited promotional materials, spam, or similar solicitations.
• Impersonate any individual or entity or misrepresent affiliations.
• Engage in conduct that impedes others' use of the Services or could harm or offend our company or other Users.
• Use bots, spiders, or automated methods to access, monitor, or copy materials from the Services without permission.
• Introduce harmful or disruptive software or data.
• Attempt unauthorized access to any part of the Services or connected networks.
• Engage in actions that could falsify or harm our company's rating.
• Transfer, sublicense, or otherwise make available the Services to unauthorized third parties.
• Modify, share, or redistribute the Services without written consent.
• Post or transmit content the User doesn't have rights to, including personal or confidential information without appropriate consent.
• Use the Services for competitive analysis or benchmarking.
• Remove or obscure any proprietary notices in the Services.
• Use the Services in a manner threatening India's sovereignty, security, or public order, or which is offensive to other nations.
• Spread misinformation for financial gain or to cause harm.
• Engage in any activity prohibited by Indian law.
• Mislead others regarding the origin of communications.

Our Services may include Communication Services like chat, email, text messaging and/or WhatsApp messaging. When using these facilities, a User must: • Only send appropriate and relevant messages.
• Avoid surveys, contests, pyramid schemes, spamming, and unsolicited messaging.
• Respect the legal rights of others, avoiding offensive, defamatory, or indecent content.
• Ensure they have rights to any shared intellectual property.
• Not upload harmful files or attempt to harm another's property.
• Not falsely claim copyright or ownership of uploaded materials.
• Not inhibit others' use of the Communication Services.
• Not harvest or collect others' personal information without consent.
• Not mislead others with a false identity.

Users are solely responsible for their use of the Services, ensuring they do not transmit illegal, harmful, or objectionable material. This includes respecting intellectual property rights and avoiding the transmission of spam or phishing messages.
We reserve the right to monitor, remove, or edit content in Communication Services and terminate access for any violation of these terms. We may disclose any necessary information to comply with the law or legal processes. Caution is advised when sharing personal information in Communication Services. Users are responsible for adhering to limitations on the use of materials they download.
Consequences of Violating Restrictions: Violation of any of these restrictions may result in immediate suspension or termination of a User’s access to the Services. In addition, the User may be subject to legal action and liable for damages caused by their violation. We reserve the right to take any necessary legal and technical measures to enforce these restrictions, including cooperation with legal authorities and third parties in investigating any suspected violation. The Company also reserves the right to disclose any information necessary to satisfy any applicable law, regulation, legal process, or governmental request.

Violation of Terms of Use

We reserve the right to terminate a User Account or suspend a User’s access to the Services for violations of these Terms. We also retain the right to pursue legal and equitable remedies against the User for such violations.

User’s Content

When using our Services, User may provide various forms of content including text, graphics, audio, video, and other materials ("User’s Content"). Users retain ownership of User’s Content. They can remove User’s Content at their discretion, but note that certain content, such as reviews or testimonials, or data shared with third-party partners, may not be completely removable. The Company is not liable for the retention, deletion, or failure to delete any of User’s Content.
In providing User’s Content through the Services, Users grant the Company a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, transferable license, with the right to sublicense, to use, reproduce, modify, create derivative works from, publicly display, perform, and distribute User’s Content in connection with operating the Services. This grant does not extend to commercial or marketing use of content they create or store without their explicit permission.
Users are solely responsible for User’s Content and its compliance with applicable laws and rights, including intellectual property, publicity, privacy, and other legal rights. The Company is not responsible for any infringement, misappropriation, or legal violations caused by User’s Content. Users are responsible for ensuring that they do not inadvertently make any private content publicly available. Publicly available content is accessible on the internet and may be indexed by search engines.
If a User publishes content as a news and current affairs publisher under the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules 2021, they are required to furnish details to the Ministry of Information and Broadcasting as per rule 18. By using the Services to transmit or publish content, they consent to the Company's designated agent determining questions of legality or infringement of third-party rights. For details on the complaint procedure regarding illegal or infringing content, please refer to our specified guidelines.
Users are responsible for the legality, reliability, and appropriateness of the Content they post on or through our Services and Website. Posting Content implies their ownership or rights to use and grant licenses as per these Terms. Violation of third-party rights, including copyright infringement, may result in account termination. The Company assumes no liability for Content posted by Users or third parties.

Personal Information and Privacy

Personal information provided through the Services is governed by our Privacy Policy, which a User accepts by using the Services. Users are responsible for the accuracy, quality, and legality of personal data of their customers ("Customer Data") provided to us. When using the AI Services, parts of User’s content, including Customer Data, may be shared with third-party AI providers, as authorized by Users. Once shared, we are not responsible for User’s content in the third-party environment. Users are responsible for obtaining the necessary consents for processing and transferring Customer Data to the Company and its third-party service providers.
We are committed to implementing safeguards against unauthorized use, access, processing, destruction, loss, alteration, or disclosure of Customer Data.
Users agree to comply with all applicable data protection laws when using the Services. Any data protection breaches or observations must be reported to the Company at support@parth2success.com within 48 hours of discovery. The Company will aim to inform the Users regarding any data breach via the primary email within 48 hours of detection.
The transmission of information over the internet inherently carries risks, which the Users acknowledge and understand.

Confidentiality

Each party, as the “Disclosing Party,” may share non-public, proprietary, and confidential information with the other party, the “Receiving Party” ("Confidential Information"). This includes non-public business, product, technology, and marketing information, which should reasonably be understood as confidential.
Confidential Information does not encompass information that is publicly available without a breach by the Receiving Party, information received from a third party not bound by confidentiality, previously known to the Receiving Party, or independently developed without using the Disclosing Party’s Confidential Information.
The Receiving Party must safeguard the Confidential Information with at least the same care as its own confidential information, but not less than a commercially reasonable degree of care. The Receiving Party is prohibited from using the Confidential Information except to fulfill its obligations under these Terms and must not disclose it, except to its service providers or advisors who are under similar confidentiality obligations.
Should the Receiving Party be legally compelled to disclose Confidential Information, it must, where possible, notify the Disclosing Party in advance to allow for the seeking of protective measures.

Intellectual Property

The Services and Website, including their original content, features, and functionality, are the exclusive property of the Company and its licensors. Unauthorized use, reproduction, or distribution of these materials, or any part thereof, is strictly prohibited and may result in severe civil and criminal penalties. Trademarks, service marks, and logos used and displayed on the Services are registered or unregistered trademarks of the Company.
License and Restrictions
Upon subscribing to the Services, Users are granted a limited, non-transferable, revocable, and non-exclusive License. This License is valid for the duration of the subscription and permits:
• Installing and subscribing to the Services on the User’s website and/or software.
• Utilizing the Services for serving the User’s customers.
Users are restricted from altering, reverse engineering, decompiling, or disassembling the Services or the Website, or attempting to derive their source code. The creation, publication, or use of APIs to proxy access to the Services or Website, or their automated use through machines or computer programs, is expressly forbidden.
Intellectual Property Infringement and Compliance
We respect the intellectual property rights of others and expect our Users to do the same. If a User encounters any instances of infringement, whether involving their rights, the Company’s rights, or those of a third party, they should notify us at support@parth2success.com. The Company will take appropriate actions, up to and including terminating the User Account of the infringing party and notifying relevant authorities.
In cases where Content posted via the Services or on the Website is alleged to infringe on the copyright or other intellectual property rights of any person or entity, we will address such claims in accordance with Indian intellectual property laws. Claims of infringement should be sent to support@parth2success.com with a detailed description of the alleged infringement. Be aware that false claims of infringement may lead to liability for damages.
Trademark Use
The trademarks of the Company, including the Company logo and the names and logos of individual Services, are the exclusive property of the Company. Unauthorized display or use of these trademarks without the Company’s prior written permission is prohibited.

Third Party Applications

Our Services integrate with various third-party applications ("Third Party Applications"). Usage of these applications requires acceptance of their respective terms and privacy policies ("Third Party Terms"). It is the User’s responsibility to review these terms before use. We are not liable for any Third Party Applications and/or Content and may modify, suspend, or remove access to them at our discretion without liability. Advance notice will be provided wherever reasonably possible.

Analytics

Our Services may use third-party service providers, including Google Analytics and Mixpanel, for usage analytics.
Google Analytics: This service, provided by Google, tracks and reports website traffic. The data collected is used by Google for various purposes, including ad personalization across its network. For Google's privacy practices, visit: https://policies.google.com/privacy?Hl=en.
Mixpanel: Offered by Mixpanel Inc. For more information on Mixpanel's data collection, refer to their Terms of Use at https://mixpanel.com/terms.

Links to Other Websites

Our Services and/or Website may contain links to third-party websites not under the Company's control or ownership. We have no authority over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites. The presence of these links does not imply our endorsement of the third-party sites or their content.
A User’s use of third-party websites, including any interactions or transactions they engage in, is at their own risk and subject to the terms and conditions and privacy policies of those websites. We encourage Users to review the privacy and user policies of any third-party sites they visit.

Data Protection on Linked Websites

The Company is not responsible for the data protection practices or the content of websites linked from our Services or Website (Linked Websites). We recommend reviewing the privacy and data protection policies of any linked third-party websites before providing any personal information. Users should be aware that the Company does not have control over, and is not liable for, the protection and privacy of any information which Users provide while visiting such sites.

Advertisements and Promotions

The Company may display advertisements and promotions from third parties on the Website or through the Services. User’s interactions or business dealings with these third-party advertisers, including payment, delivery of goods or services, and any other terms, are solely between the User and the third party. The Company is not responsible for any loss or damage incurred from such dealings or the presence of third-party advertisers on the Website or Services.

Testimonials and Reviews

The Website may enable Users to post feedback, testimonials, and reviews of the Services (“Reviews”). By submitting Reviews, Users grant the Company and its designees the unrestricted right to use, share, and commercialize their Reviews without any compensation. Users affirm that they have not provided Reviews that are subject to any licensing restrictions and that they possess all necessary rights to post these Reviews. Reviews represent User’s personal opinion and not the opinion of the Company.

Publicity

The Company may use the User’s name, logo, and marks, including those on Customer properties, for identifying them as a Company customer in marketing materials, unless otherwise specified.

Sample Files and Applications

The Company may offer sample files and applications to demonstrate effective use of the Services for specific purposes. These samples contain randomly generated data. The Company does not guarantee the accuracy, usefulness, completeness, or reliability of the information or the sample files and applications and makes no express or implied warranties regarding them.

Warranty Disclaimer

The Services are provided by the Company on an "AS IS" and "AS AVAILABLE" basis. The Company expressly disclaims all warranties, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We make no warranty that the Services will be uninterrupted, timely, secure, or error-free. Use of any material downloaded or obtained using the Services is at the User’s own discretion and risk. The Company does not guarantee the accuracy, completeness, or timeliness of the Services and is not responsible for any loss or damage of data or other harm resulting from User’s access to or use of the Services. No advice or information, whether oral or written, obtained by the User from the Company or through the Services shall create any warranty not expressly stated in these Terms.

Limitation of Liability

IN NO EVENT SHALL THE COMPANY, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE for any indirect, special, incidental, punitive, exemplary, or consequential damages, including loss of profits, data, goodwill, service interruptions, computer damage, system failure, or the inability to use the Services. This limitation applies regardless of the legal theory on which the liability is based and even if the Company has been advised of the possibility of such damage. THE COMPANY’S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES SHALL NOT EXCEED twenty thousand rupees (₹ 20,000) or the fees paid by a User for the past three months of the Services in question, whichever is higher. The Company is not liable for the consequences of compliance with any content provided by the Services, including content generated by AI, or for damages arising from installing or sending malicious software by third parties through the Services.

Indemnification

THE USERS AGREE TO INDEMNIFY AND HOLD HARMLESS the Company, its directors, officers, employees, contractors, consultants, suppliers, and affiliates from any and all claims, damages, losses, liabilities, suits, judgments, litigation costs, and attorneys’ fees arising out of or in connection with User’s use of the Services or violation of these Terms. They also agree to indemnify the Company for any losses, damages, or costs resulting from their violation of any laws, rules, or regulations in connection with their use of the Services.

The User’s Liability

Users are liable for any consequences arising from their use of the Services, including the unauthorized distribution of content. Users are responsible for ensuring that their use of the Services does not infringe on the rights of others, and for any legal claims arising from such infringement.

Inactivity, Account Suspension and Termination

We reserve the right to immediately suspend or terminate a User Account and access to the Services at our discretion, without prior notice or liability, for any reason, including but not limited to a breach of the Terms. This is part of our commitment to maintaining the security and integrity of our Services.
Accounts that remain unpaid and inactive for 90 consecutive days are subject to suspension. Inactivity is determined by the absence of user-initiated activity within the Services. For accounts with multiple Users, the account is considered active if at least one User is active. If an account remains inactive for an additional 90 days following suspension, we may terminate the account, potentially resulting in the irreversible deletion of all associated data. We do not offer data export options.
The Company may, at its discretion, extend the suspension periods under certain circumstances.
Certain provisions of the Terms, such as ownership clauses, warranty disclaimers, indemnity, and limitations of liability, will remain in effect even after account termination. These provisions continue to govern the relationship between the User and the Company after account termination.
To avoid suspension or termination, regular activity and compliance with our Terms are advised. We communicate all important information about account status, including potential suspension or termination, through our designated channels. If a User has objections to a suspension or termination decision, they may contact us at support@parth2success.com or through our support ticket system within 30 days to discuss their concerns. Our goal is to manage User Accounts in a transparent and fair manner.

Services breaks

The Company does not guarantee uninterrupted access to the Services. It reserves the right to temporarily suspend the Services or certain features thereof. In case of planned suspensions, the Company will endeavor to notify Users at least 48 hours in advance through a notification on the Admin website, or via the primary email. For unplanned service interruptions, the Company will aim to provide prompt notification through these same channels. By accepting these Terms, Users acknowledge and accept that the Services may not always be fully operational.

Communications from the Company

As part of the Services, Users may receive communications such as service announcements, administrative messages, and newsletters. These communications are integral to the use of the Services. While Users can opt out of receiving newsletters, opting out of service announcements and administrative messages is not possible as these are necessary for the ongoing management of User Accounts and Services. The primary methods of communication include emails, admin notifications, text messages, and WhatsApp messages.

Complaints

Should the Company receive a complaint related to a User's use of the Services, it will forward this complaint to the User's primary email. The User is required to directly address the complaint within 10 days of receiving this notification, copying the Company in the correspondence. Failure to respond within this timeframe will be interpreted as consent by the User for the Company to disclose their name and contact information to the complainant for legal recourse.

Error Reporting and Feedback

The Company values input from Users for the continuous improvement of the Services. Users are encouraged to send feedback, including error reports, suggestions, improvements, complaints, and other relevant comments, to support@parth2success.com (“Feedback”). By providing Feedback, Users agree to relinquish any intellectual property rights or claims they may have in the Feedback. Users acknowledge that the Company may be independently contemplating similar developments to User’s Feedback, and that User’s Feedback does not contain confidential or proprietary information. The Company is not obliged to maintain the confidentiality of the Feedback. In cases where the law does not allow the transfer of ownership of Feedback, Users grant the Company and its affiliates an exclusive, transferable, irrevocable, royalty-free, sublicensable, perpetual, and unlimited right to use the Feedback in any manner, including for service improvement and product development, without obligation or compensation to the Users.

The Company offers necessary support to its Users, which may include both technical and non-technical assistance. For any support, contact us at support@parth2success.com, raise a support ticket, or reach our support team via phone.

Grievance Redressal

For grievances as defined under the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules 2021, our Grievance Officer, Gitanj Sheth, is available. Contact can be made via email at admin@parth2success.com or by phone at 97731-00045.

Governing law and Jurisdiction

All disputes arising from or related to these Terms shall be exclusively resolved in the courts of Ahmedabad, India, and governed by Indian law, disregarding conflict of law principles.

Entire Agreement

These Terms constitute the sole and entire agreement between the User and the Company regarding the Services, superseding all prior agreements and understandings, unless a separate, valid subscription or service agreement exists between the parties. These Terms do not confer any third-party beneficiary rights. The terms of any unilateral documents, such as purchase orders not agreed in writing by both parties, will not affect the parties' rights and obligations under these Terms.

Waiver and Enforcement

Failure by the Company to enforce any right or provision in these Terms does not waive that or any other right or provision. The enforceability of these Terms remains intact even if a court finds a provision invalid or unenforceable. No waiver of any Terms provision is a further or continuing waiver of such provision or any other provision.

Severability
